General Terms and Conditions for use of the AIDONIC platform

These are the general terms and conditions (the “Conditions”) of AIDONIC AG (“AIDONIC”). AIDONIC provides a social fundraising and digital aid distribution technology platform for humanitarian aid and development programs (the “Platform”). AIDONIC does not raise any funds itself but offers the Platform through which third parties can raise funds and acts as intermediary. The Platform is an innovative solution to efficiently deliver help directly to those in need in the most transparent and accountable way. For more information, see our website: (the “Website”). Our Platform is available via the “Web Portal”

These Conditions apply to all use of the Platform and any other dealings between AIDONIC and its Users and any services by AIDONIC (all of this use, dealings and services is defined as the “Services”). AIDONIC offers its Services on the condition that the User accepts these Conditions. By making use of the Services, you agree to and accept to be bound by these Conditions. AIDONIC may amend these Conditions from time to time at its own discretion. By continuing to making use of the Services, you agree to and accept to be bound by the latest version of the Conditions. The latest version of the Conditions always applies between AIDONIC and the User.

  • Definitions

Insofar not defined in these Conditions, the following terms when capitalized in these Conditions shall have the following meaning:

  • AIDONIC: AIDONIC AG, a stock company under Swiss law, having its registered office in Baar (Zug, Switzerland) at Blumenweg 9, 6340 Baar, Switzerland, and registered in the commercial register of the Kanton Zug under number CHE-419.084.892. Also referred to as “we”, “us”, “our”.
  • User: any legal entity or natural person that makes use of the Services, including Verified Organisations (as defined below), Individual Beneficiaries (as defined below), Local Service Providers (as defined below), Donors (as defined below), Implementing Partners (as defined below) and Ambassadors (as defined below). Also referred to as “you” and “your”.
  • Parties: AIDONIC and the User, together.
  • AIDONIC: How does it work?
    • AIDONIC provides the Platform, a social crowddonating and digital aid distribution technology platform for humanitarian aid and development programs. Our goal is to efficiently get the help directly into the hand of those in need in the most transparent and accountable way.
    • Via the Platform non-governmental charitable organisations (“Verified Organisation”) can campaign and raise donations for projects to benefit a specific social, community or charitable cause (a “CrowddonatingCampaign“), in the context of which aid is distributed (the “Aid”) for which a digital “Campaign Page” is created on the Platform. Furthermore, Verified Organisation may also use the Platform in order to distribute Aid without raising donations through the Platform (a “Self-Funding-Campaign”). The Crowddonating-Campaign and the Self-Funding-Campaign are hereinafter collectively referred to as the “Campaign”).
    • The Verified Organisation determines and defines the beneficiaries of the Campaign (the “Beneficiaries”). The Beneficiaries may be defined as a certain group (e.g. refugees of a specific camp) as well as individually named (“Individual Beneficiaries”). Individual Beneficiaries are enabled to become a User and make use of the Platform. Verified Organisations and Local Service Providers (as defined below) are allowed to assign a Beneficiary.
    • The Verified Organisation further determines and defines the form in which the Aid is distributed. Such Aid may be distributed through the use of local service providers (e.g. supermarket or pharmacy, the “Local Service Providers”) or through other means (e.g. through the distribution of products or medical aid by the Verified Organisations and/or Local Service Providers directly). In any case, Vouchers (see clause 2) can only be redeemed by the Local Service Providers. Each User can only register one role.
    • Finally, the Verified Organisation may determine a minimum and maximum value of Donations required for a particular Crowddonating-Campaign to take place (the “(Campaign) Target”) and a fundraising period for which Donations can be made for a Crowddonating-Campaign as the “Fundraising Period”.
    • The Verified Organisation may make use of local implementing partners or other third parties for the distribution of the Aid (“Implementing Partners”). The Implementing Partners will directly use the Platform. They fulfil the same role as the Verified Organisation except for creating Campaigns. The Implementing Partners may only create a cause by connecting with a Verified Organisation through the Platform. The Verified Organisation is responsible for the due diligence on the Implementing Partner. Once the Implementing Partner is verified and approved by the Verified Organisation, the Verified Organisation can raise funds under a new Crowddonating-Campaign for that cause.
    • Natural persons and organisations (“Donors”) can donate money (“Donation“) to support the Crowddonating-Campaigns.
    • Ambassadors” fulfil the role of a charitable influencer. They can mobilize their network to help people in need, raise awareness about the Platform, Campaigns and causes and promote organisations related to AIDONIC to their followers or network, through the Platform.
  • The role of AIDONIC
    • AIDONIC provides the Platform for creation of Campaigns and interaction of Users and acts as intermediary between Verified Organisations and the Donors. AIDONIC does not actively monitor any Campaigns or endorse any content created by Users (“User Content”) on the Platform.
    • AIDONIC may remove User Content and may terminate any Campaign or User profile at its sole discretion, including but not limited to the ground that it violates the Conditions. Removing User Content or terminating an account is not an action AIDONIC takes lightly, and AIDONIC may take a while to investigate and determine if User Content or an account should be removed. It is at AIDONIC’s sole discretion whether to discuss the reasons regarding the removal of User Content, including the termination of any Campaign.
    • AIDONIC may offer additional Services, including helping with drafting Campaign Content, assisting with the design of Campaigns, and referring vendors and other service providers to Verified Organisation s. Any such services will be subject to a separate agreement between the Verified Organisation and AIDONIC. Even where AIDONIC helps you with your Campaign, Verified Organisations bear sole responsibility for the Campaign and must comply with all obligations in the Conditions as the only responsible party for the Campaign.
    • AIDONIC is not a financial institution, creditor and/or charity: the Services are mainly to administrate the Platform. AIDONIC facilitates the Campaign of the Verified Organisations and permits Donors to make donations to these Verified Organisation. AIDONIC has a collection mandate from the Verified Organisation, according to which AIDONIC undertakes to take over the collection of the Donation made. AIDONIC collects due claims on behalf of the Verified Organisation as a direct authorized representative.
    • All information and content provided by AIDONIC relating to the Services is for information purposes only and AIDONIC does not guarantee the accuracy, completeness, timeliness or reliability of any such information or content. No content is intended to serve as financial, legal, tax or other professional advice. Before making any decisions regarding any Campaigns, Donations or any information or content relating to the Services, you should consult your financial, legal, tax or other professional advisor as appropriate. You acknowledge that all information and content accessed by you using the Services is at your own risk.
    • AIDONIC has no control over the conduct of, or any information provided by, a User and hereby disclaims all liability in this regard to the fullest extent permitted by applicable law. AIDONIC does not guarantee that a (Crowddonating-)Campaign will obtain a certain amount of Donations or any Donations at all. AIDONIC does not endorse any Campaign, User, or cause and AIDONIC makes no guarantee, express or implied, that any information provided through the Services is accurate. AIDONIC expressly disclaims any liability or responsibility for the outcome or success of any Campaign. You, as a Donor, must make the final determination as to the value and appropriateness of contributing to any User or (Crowddonating-)Campaign.
    • AIDONIC offers the Platform to help Verified Organisations to raise money. AIDONIC merely provides the technology to allow Verified Organisations to connect with Donors. The existence of the Services is not a solicitation of Donations by AIDONIC and AIDONIC does not engage in any solicitation activities or consult on the solicitation of contributions from the public, on behalf of any individual, entity or organisation. By using the Services, you understand and agree that AIDONIC shall not be responsible for the use of Donations or the amount of Donations raised for the Verified Organisation and/or the (Crowddonating-)Campaign. AIDONIC bears no liability, and has no obligation to participate or become involved, in any dispute between Users, including between Donors and Verified Organisations.
  • Terms for Donors

Donating to a Crowddonating-Campaign

  • A conditional promise of Donation is made between the Donor and the Verified Organisation, which is executed with the effective payment of the Donation and subsequently becomes a conditional gift.
  • If the Donor wishes to make a Donation through the Platform, the Donor must accept these Conditions and complete all steps of the Donation and payment process.
  • All Donations are made voluntarily and at the sole discretion and risk of the Donor.
  • AIDONIC does not guarantee that Crowddonating-Campaigns will succeed, Aid will be provided or deemed satisfactory. By contributing to a Crowddonating-Campaign, Donors are supporting an idea, project, or cause they care about and want to help make happen. Donors accept the risk that the Crowddonating-Campaign may experience changes, delays, and unforeseen challenges, or that a Crowddonating-Campaign, might not come to fruition. AIDONIC does not guarantee or represent that Donations will be used as promised or that the Crowddonating-Campaign will achieve its goals. AIDONIC also does not endorse, guarantee, make representations, or provide warranties regarding the quality, safety, morality or legality of any Crowddonating-Campaign or Donation, or the truth or accuracy of User Content posted on the Services.
  • The Donor decides for which Crowddonating-Campaign the Donation will be made, the amount of the desired Donation and the frequency of the Donation.
  • Taking into account the Fees in clause 13, you make your Donation to a Crowddonating-Campaign of a Verified Organisation, not to AIDONIC. AIDONIC introduces Donors to Verified Organisations and their Crowddonating-Campaigns. Donations can be made via credit or debit card. No Donations are processed by AIDONIC; all Donations are processed by Stripe Payments Europe Ltd. or any other payment service provider AIDONIC elects to engage (the “Payment Service Provider”). The terms and conditions of the Payment Service Provider apply to the Donations made. Donations cannot be made by any other method. The Donation Platform Fees and Transaction Fees apply (see clause 13).
  • Donations must be of at least CHF 2.00 per Donation (or the equivalent in another currency). Donations will be processed in the currency which is indicated on the Crowddonating-Campaign and payment pages. If your payment card is in a different currency, conversion fees may apply, and may be charged to you by your financial institution. Donations can be made at any time from the start of a Crowddonating-Campaign up to the Fundraising Period for time limited Crowddonating-Campaigns. For time limited Crowddonating-Campaigns, once the Fundraising Period expires, no more Donations can be made via the Platform.

Changes to and cancellations of Donations

  • You may not cancel a Donation (including if a Crowddonating-Campaign has reached or exceeded its Campaign Target before the Fundraising Period) once your Donation has been collected. If you wish to increase your support for a Crowddonating-Campaign after your Donation has been processed, you must make a further Donation. However, no Donations can be accepted for a Crowddonating-Campaign once its Fundraising Period has passed. AIDONIC has no obligation to participate or become involved in any dispute between Donor and Verified Organisation concerning a refund.
  • If the Campaign Target is not achieved, the Donor is entitled to reclaim the Donations (less the Transaction Fee (see clause 13)) made from the Verified Organization.
  • Verified Organisations may cancel or refund a Donation at any time at their discretion and for any reason.

Tax deductions and confirmation

  • When you make a Donation, you will receive a receipt available for download on the Platform. It is your responsibility to verify whether a Verified Organisation has the appropriate legal status to allow you to claim a tax deduction.
  • You agree that AIDONIC will not be liable for any unpaid tax, interest, fines, penalties or any other claims against you in relation to the tax deductibility of your Donation. You also agree to indemnify AIDONIC against any claim made against AIDONIC in relation to the tax deductibility of your Donation.
  • Terms for Verified Organisations


  • Only Verified Organisations that are verified and approved by AIDONIC can create Campaigns. A Verified Organisations must be established within a country which is not on Switzerland’s sanction list.
  • Implementing Partners are not verified by AIDONIC. The Verified Organisation takes full responsibility for working together with Implementing Partners.
  • All Verified Organisations and all requests to start a Campaign are vetted by AIDONIC prior to launch. Once the Verified Organisations are verified, they can create a Campaign without AIDONIC’s confirmation.
  • The acceptance of any Verified Organisation or Campaign and the criteria for such acceptance are at the sole discretion of AIDONIC. In this context AIDONIC may request information at its sole discretion, including but not limited to the following information (which is subject to change):
    • the Campaign Target and the Fundraising Period (for the sake of clarity, this only applies to a Crowddonating-Campaign);
    • corporate details, including full name, legal form, country of incorporation, registered address and trade or commercial registration number;
    • contact details, including contact person, email address and phone number;
    • evidence of identity of the Campaign User account holder;
    • details of the Campaign and the Aid to be distributed under the Campaign;
    • proof of the Verified Organisation’s status as tax-exempt charity under the laws and regulations of its jurisdiction of incorporation;
    • the Beneficiaries, including any Individual Beneficiaries;
    • the confirmation to adhere to these Conditions; and
    • details of the Verified Organisation’s bank account to be used to collect Donations.
  • For the avoidance of doubt, AIDONIC may waive any requirements at its sole discretion.
  • The Verified Organisation represents that it applies with all applicable law and regulations, including but not limited to regarding the use of Donations and creating Campaigns.
  • AIDONIC does not accept any responsibility for any Crowddonating-Campaign not reaching its Campaign Target by the expiry of the Fundraising Period.
  • As a Verified Organisation, you must:
    • not use the Platform to solicit or recruit volunteers or employees for Campaigns;
    • promptly answer any questions or provide any information or evidence requested by AIDONIC to ensure the quality of the Campaign, or to verify any details of the Campaign or your status as a Verified Organisation;
    • keep your Campaign page on the Platform updated with accurate information during the Campaign, which is possible by creating updates on the relevant page(s);
    • inform AIDONIC immediately if anything compromises the integrity, potential success or existence of your Campaign;
    • complete all Crowddonating-Campaigns for which Donations are collected via the Platform substantially in line with the information set out on your Campaign page, or refund Donations immediately in full. Once the minimum Campaign Target is reached, the Verified Organisation cannot cancel the Crowddonating-Campaign, hence Donations cannot be refunded;
    • to the extent relevant provide regular updates on the progress of your Campaign and about how Donations of the Crowddonating-Campaign have been used on the Platform at or around 1 and 6 months after the Fundraising Period. The Verified Organisation can do that by creating updates on the Campaign page;
    • refrain from taking any action in reliance on receiving Donations until they have been remitted to you and you have the right and the ability to withdraw or spend these Donations;
    • correctly calculate and remit all taxes (including GST/VAT), levies or similar, if any, which are applicable to Donations made to your Verified Organisation. The Verified Organisation can define its Verified Organisation Fee for each Crowddonating-Campaign separately;
    • comply with AIDONIC’s Privacy Policy and the relevant privacy legislation;
    • obtain and continue to maintain, any necessary licences, consents, approvals or other permissions required to use the Platform and create and run a Campaign (if any); and
    • comply continuously with all laws, legislation, rules, regulations and industry standards applicable to you as a Verified Organisation.
  • To qualify as a Campaign, the Campaign must fulfil, among others, the following criteria (which are subject to change at AIDONIC’s sole discretion):
    • a legitimate purpose, to campaign and raise funds for projects to benefit a specific social, community or charitable cause (for the sake of clarity, the legitimate purpose to raise funds only applies to the Crowddonating-Campaign);
    • defined Beneficiaries of the Campaign;
    • a determined (Campaign) Target and Fundraising Period (for the sake of clarity, this only applies to the Crowddonating-Campaign);
    • a Campaign planning / process.
  • If you build a Campaign Page on the Platform, you must ensure that any information you provide to the public is accurate and not misleading. It is your responsibility to ensure that the content you are uploading on your page, including inter alia pictures, photographs and any videos, is your original work and/or you have the right and/or licence necessary to upload it and it is not copyright-protected. If it is copyright-protected, you must obtain the copyright owner’s written consent to use it. AIDONIC reserves the right to remove any pictures, photographs, videos or copy from personal fundraising or Campaign Pages at its sole discretion and without notice if their copyright status is in any doubt.   • It is the responsibility of the Verified Organisation to determine what taxes, if any, apply to the Donations a Verified Organisation receives through the use of the Services. It is solely the Verified Organisation’s responsibility to assess, collect, report or remit the correct tax, if any, to the appropriate tax authority.
  • AIDONIC implements exchange rates from a third-party provider, in order to show the amount of the Voucher in local currency to the Beneficiaries. The Verified Organisation and the Local Service Provider define the local currency. The Verified Organization shall not make a profit out of these exchange rates.

Relationship AIDONIC and Verified Organisation

  • As a Verified Organisation, when you create a Campaign on the Platform, you understand that you are entering into separate legal agreements with both AIDONIC and with Donors, and the following rules apply.
  • As a Verified Organisation, you are solely responsible for fulfilling the obligations of your Campaign. If you are unable to perform on this, or any of your other legal obligations, you may be subject to legal action by Donors.
  • AIDONIC cannot guarantee the Verified Organisations to receive Donations made to a Crowddonating-Campaign, even after the Crowddonating-Campaign has ended and the Campaign Target has been reached – due to the payment of Donations is arranged via the Payment Service Provider, see clause 13. In the event of, among others, refunds, chargeback disputes, fraud, violation of these Conditions or other policy violations, AIDONIC may ask the Payment Service Provider to withhold Donations made to a Crowddonating-Campaign. For the avoidance of doubt, it is in the sole discretion of the Payment Service Provider to withhold Donations. AIDONIC may also seek reimbursement from a Verified Organisation by any other lawful means.
  • A Crowddonating-Campaign can only be successfully finished in the event all relevant Local Service Providers ‘opt-in’ via the Platform that they received the funds and the Crowddonating-Campaign is successfully finished.
  • In case of a Crowddonating-Campaign, AIDONIC is compensated for its intermediary service via the Platform Fee, paid by the Verified Organisation. AIDONIC also has a collection mandate from the Verified Organisation, according to which AIDONIC undertakes to take over the collection of the Donation promises made. AIDONIC collects due claims on behalf of the Verified Organisation as an authorized representative. AIDONIC acts as the direct representative of the Verified Organisation in this regard. AIDONIC is compensated by the Verified Organisation for this service. The incoming debt payments are processed via an AIDONIC account and forwarded to the Verified Organisation after deduction of the Fees. The Platform Fee is only owed if the Campaign Target has been reached.
  • In case of a Self-Funding-Campaign, AIDONIC is compensated for its digital last mile aid intermediary distribution service via the Platform Fee, paid by the Verified Organisation. The Verified Organisation has to pay the Platform Fee together with sending the request to start a Self-Funding-Campaign. In case AIDNOIC rejects a Self-Funding-Campaign, the Platform Fee will be refunded.

Terms for Individual Beneficiaries

  • Usage of the Platform and Donation by the Individual Beneficiary
    • The Donations raised by the Verified Organisations are eventually for the Beneficiaries. As described in clause 3 the Beneficiaries may be defined as certain group as well as Individual Beneficiaries. Individual Beneficiaries are enabled to become a User and make use of the Platform.
    • The Verified Organisations may provide Aid in the form of “Vouchers” to Beneficiaries, paid for by the Donations. The Beneficiaries receives such Voucher digitally. By redeeming the Voucher at the Verified Organisation and/or Local Service Provider, the Beneficiaries receive the Aid distributed through the Local Service Providers or through the distribution of products or other forms of aid.
    • To redeem the Voucher, the Individual Beneficiary needs to visit the Web Platform via its browser, create an Account and log in. The Individual Beneficiary needs to create an account, see clause 7, with the exception that an Individual Beneficiary may be a minor who have not reached the age of eighteen (18) yet.
    • The Voucher may be redeemed once. If the Voucher is redeemed, and the relevant Aid is provided, the Voucher does not include any value anymore. Once redeemed, the Voucher is sent from the Beneficiary to the Local Service Provider, hence the Beneficiary does not possess the Voucher anymore and cannot use the Voucher again.

Terms for all Users

  • Account
    • Anyone can access our Platform. However, to create a Campaign and become a Verified Organisation, make a donation as a Donor or to use the Web Platform to redeem the Voucher as an Individual Beneficiary you will need to register by signing up and creating an account (“Account”).
    • To create an Account, in order to use the Services, you must provide at least your name, sur name and email address. The personal information is used as part of the authentication process. Failure to provide the personal information may result in the restriction of the User’s use of the Services. If AIDONIC suspects that the personal information is invalid, AIDONIC may suspend, terminate, or otherwise restrict the User use of the Services.
    • Users should be aware that AIDONIC may, at any time and without notice, at its sole discretion terminate or suspend the Account, including if AIDONIC has cause to believe such User not compliant with these Conditions and/or any applicable laws.
    • You must be eighteen (18) years or older to create an Account and to use our Services.
    • Users should take care of their account passwords and personal data and should not provide these to third parties. If a User suspects that his/her account has been infringed, the User reports this immediately via [email protected]
    • AIDONIC has no responsibility for any loss that the User suffers as a result of failing to comply with these Conditions or failure to follow or act on any notices or alerts that AIDONIC may send to the User.
    • Once the User has an Account, it acknowledges and agrees that:
      1. the information it provides to AIDONIC during account creation and any subsequent identity verification processes (such as Know Your Customer, “KYC“) is accurate, authentic and complete, and will be updated in a timely manner as necessary to keep it so;
      2. if it is under eighteen (18) years of age, it is not authorized to use the Services;
      3. it has the obligation to keep all information provided up to date, updating it if there are any changes;
      4. it is at the sole discretion of AIDONIC whether it will approve the opening of an Account. Additionally, AIDONIC reserves itself the right to suspend accounts temporarily or permanently, including (but not limited to) when it is required or recommended by applicable governmental, regulatory, or law enforcement provisions or in case the User fails to provide the information required, or if there is a reasonable doubt that any information provided by the User is wrong, untruthful, outdated or incomplete.
    • You may submit a request to terminate your account by contacting AIDONIC. This will not automatically delete User Content. AIDONIC may need to retain certain information as required by law or as necessary for our business purposes.
  • Services guarantees
    • The Services are provided ‘as is’. AIDONIC will make reasonable efforts to provide the Services to User, however, AIDONIC does not make any commitments with regard to the availability, continuity, functionality or usability of the Services, nor does it make any other commitments other than those expressly set out in these Conditions.
    • AIDONIC has the right to partially or entirely terminate, suspend or alter the provision of the Services at any time, without prior notification, and for any reason at its sole discretion, for example (without limitation) if AIDONIC has reason to believe that User acts in violation of these Conditions, applicable law or the rights of a third party, or AIDONIC decides to cease or alter one or more of its Services in general.
    • AIDONIC shall at all times endeavor to facilitate the Services and keep the Services accessible at all times. However, as AIDONIC will continuously improve the Services, some changes will be made to the Services and occasional scheduled maintenance downtime of the Services can be expected.
    • AIDONIC reserves the right to wholly or partially use third parties to supply the Services at any time.
  • Anti-Money-Laundering (AML) regulations
    • AIDONIC protects itself from involvement in any activity that facilitates money laundering or other criminal activities by following relevant international and local applicable laws and regulations. Therefore, AIDONIC will conduct all necessary checks according to the applicable AML and counter-terrorism regulations applicable to the Services, in particular, but not limited to KYC checks, before allowing the User to use AIDONIC’s Services. AIDONIC may thus require further documentation from the User during the business relationship, for instance, to establish the source of the Donations used in a particular transaction, and the origin of wealth.
    • The User acknowledges and declares that all of its Donations come from a legitimate source and are not derived from illegal activities. AIDONIC maintains a stance of cooperation with law enforcement authorities globally and will not hesitate to size, freeze, terminate the User’s account and Donations which are flagged out or investigated by legal mandate.
    • By agreeing to these Conditions, the User acknowledges and understands that AIDONIC maintains verification levels that require its participation and verification in order to obtain them, with leveled permissions based on User-supplied information, AIDONIC’s ability to verify it, and its internal policies. The User accepts that it may not be able to achieve a desired level of verification, and AIDONIC reserves the right to determine, at its sole discretion, the appropriate verification level and criteria for any User of the Services, as well as the right to downgrade Users of the Services without prior notice. AIDONIC may, from time to time, implement policies restricting verification levels and criteria by nationality, country of residence, or any other factor. This may affect the User’s ability to withdraw Donations and it agrees to indemnify, defend and hold harmless AIDONIC against any losses associated with an inability to deposit and/or withdraw Donations based on the verification level assigned by AIDONIC to its account.
  • Services
    • AIDONIC will ultimately be autonomous and independent in the development and delivery of the Services and has a certain amount of freedom in achieving the Services. AIDONIC will deliver the Services to the best of its knowledge and ability, at its own discretion and without being supervised or managed by the User.
    • AIDONIC hereby reserves the right to make modifications to the Services at any time. However, AIDONIC is not and shall not be at any time obliged to make such modifications to Services already delivered to the User.
  • Performance of Services
    • All Services provided by AIDONIC will be performed subject to these Conditions.
    • AIDONIC may make changes to the Services which are necessary to comply with any applicable law or safety requirements. AIDONIC will notify the User of these changes.
    • AIDONIC shall use reasonable endeavors to provide the Services by the date agreed with the User but does not accept any liability for failure to deliver within the stated time where this is caused by circumstances beyond AIDONIC’s reasonable control.
    • The User will ensure that its employees and other independent contracting parties fully cooperate with (employees of) AIDONIC in the provision of Services and will adequately provide (employees of) AIDONIC with all the information that is reasonably required in order to properly perform the Services.
  • User Obligations
    • AIDONIC offers Users the possibility to create a User account for the purpose of simplifying repeated use of Services by. It is User’s responsibility to ensure safekeeping of account passwords and other login details, and more in general to protect his account against unauthorized use.
    • User must ensure that the Services are used in conformity with AIDONIC’s instructions and for the purpose that AIDONIC intended them for. More specifically (without limitation), User is not allowed to use Services:
      • in any way that affects the integrity or continuity of AIDONIC’s systems;
      • to resell or redistribute Services in any way.
    • It is User’s responsibility to use the Services in compliance with applicable law and with any third party rights. More specifically (without limitation), User is not allowed to use the Services:
      • in a way that infringes on a third party’s intellectual property rights;
      • in a way that violates a person’s privacy; or
      • to send unsolicited messages or AIDONIC to any third party recipient.
    • If a User acts in breach of this clause, AIDONIC reserves the right to block or terminate the User’s account at any time and delete all information related to it.
    • Users indemnify AIDONIC for any third party claims that may arise from any use of the Services that is in violation of this clause or applicable law or is unlawful in any other way.
    • You must not upload offensive, obscene, racist, defamatory, misleading or deceptive content, including photographs, on to the Platform or any associated Services. AIDONIC does not actively edit the Platform but reserves the right to remove or edit any content posted on the Platform or any associated Services at its sole discretion and without notice, regardless of whether or not it is, in the opinion of any third party, offensive, obscene, racist, defamatory, misleading, deceptive or otherwise inappropriate.   • Fees and Payment Services
    • Registration on the Platform is free of charge.
    • However, to cover the costs of maintaining the Platform and bringing Donors, Verified Organisations and Implementing Partners together, a “Platform Fee” and a “Transaction Fee” (collectively: “Fees”) are applicable to the Donation, in case of a Crowddonating-Campaign. All Fees are collected by the Payment Service Provider.
    • The Fees will be automatically deducted from the amount spent by the Verified Organisations to a Crowddonating-Campaign and are subject to change:
      • Platform Fee is currently 3%. The current Platform Fee is included during the donation process on our Platform; and
      • Transaction Fee is currently (see: However, this fee may vary depending on region and other factors. The current Transaction Fee is included during the donation and self-funded campaign process on our Platform.
    • AIDONIC will be able to refund the Platform Fee if your Donation is returned because a Crowddonating-Campaign is cancelled or for any other reason. However, the Transaction Fee will not be refunded. In the event the Campaign Target is not achieved, the Donor is entitled to reclaim the Donations made from, the Verified Organization.
    • Donations can be made via credit cards and debit cards or such payment method as AIDONIC offers to be used (each a “Payment Method”). By providing information related to a Payment Method, User represents, acknowledges and agrees that User: (i) is permitted to use that Payment Method; and (ii) shall be the solely responsible for any fee charged by the User’s financial institution or other payment method provider for the transaction.
    • Once you have confirmed the amount you wish to Donate and the Payment Method, you will be prompted to pay via the Payment Service Provider. These payment processing services are provided by the Payment Service Provider respectively and the terms and conditions of those services will apply to the payments you make using them. Any personal information you provide to the Payment Service Provider will be processed in accordance with their privacy policies and not the Privacy Policy of AIDONIC. Please see the Privacy Policy of AIDONIC for further details regarding your personal information and the third party service providers that AIDONIC uses.
    • The funds, or a part of the funds, (that are not redeemed) will go to the Verified Organisation .
    • Donations to a Crowddonating-Campaign will be charged to your credit or debit card at the time you make your Donation. AIDONIC collects the Donations in its own accounts of the Payment Service Provider (CHF, EUR) for all Verified Organisations and Crowddonating-Campaigns collectively, and forward the Donations to the individual raised amounts within maximum 60 (sixty) days to the Verified Organisation’s bank account. AIDONIC has to withdraw the funds from the Payment Service Provider into its own PostFinance bank accounts and from there AIDONIC forwards the amounts to the Verified Organisation’s Bank accounts.
    • Any and all funds of a Crowddonating-Campaign (less applicable Fees) are transferred within 60 days to the Verified Organisation.
    • In case of a Self-Funding-Campaign, the Verified Organisation has to pay the Platform Fee of 3% to AIDONIC together with sending the request to start a Self-Funding-Campaign. The Transaction Fee will apply as well. The Platform Fee shall be only payable in CHF. In case, a Verified Organisation uses a different currency as Campaign currency, a conversion to CHF is mandatory. The rate of exchange to be used in computing the amount of currency equivalent in CHF owed to AIDONIC shall be current exchange rate between each currency of origin and CHF as reported by In case AIDNOIC rejects a Self-Funding-Campaign, the Platform Fee will be refunded. The applicable Transaction Fee will not be returned.
  • Intellectual Property Rights
    • AIDONIC is the exclusive owner of all intellectual property rights vested in and/or arising from the Platform (including the underlying source and object code) and Services, such as but not limited to: patents, patent applications, trademarks, trademark applications, service marks, trade names, copyright, trade secrets, licences, domain names, know-how, ownership rights and procedures (the “Intellectual Property Rights”). AIDONIC is also the exclusive owner of all Intellectual Property Rights in and relating to all other products, services and information provided by AIDONIC.
    • As long as the User complies with all its obligations, AIDONIC grants a non-transferable, non-exclusive, non-sublicensable, royalty-free licence for the use of the Intellectual Property Rights in accordance with the purposes as described in or known at the time of concluding the agreement (the “Licence”). If the User no longer complies with its obligations, AIDONIC can withdraw this Licence with no notice of default being required or any compensation being due.
    • The User may not sell or transfer the Licence without AIDONIC’s prior written consent. AIDONIC has the right to withhold such consent for any reason, and to take action on any selling or transferring of the Licence by the User.
    • Any use of the Intellectual Property Rights by the User in breach of this Conditions gives AIDONIC the right to immediately terminate the Services and any agreement and take legal action against the User.
  • Uploading Content
    • You, as a User, may submit “Content” to AIDONIC for inclusion in a Campaign or other publication on the Platform. You agree that AIDONIC may publish and communicate to the public any such Content. By submitting Content to the Platform/AIDONIC, you grant AIDONIC a perpetual, royalty-free, non-exclusive, irrevocable, worldwide and transferable licence to use the Content on and in relation to the Platform and its associated Services, or any other Services or products.
    • Under these Conditions, the User in principle retains the copyrights and other intellectual property rights that belong to the User with respect to the information made available by the User through the Platform to visitors to the Platform.
    • The User hereby declares not to perform any actions that may violate (intellectual property) rights of AIDONIC or third parties. The User acknowledges and accepts that any unauthorized use of files, data and materials subject to intellectual property rights violates these Conditions and applicable intellectual property laws and regulations.
    • The User acknowledges and agrees that the files, data and/or materials that the User makes available to AIDONIC will be used by other AIDONIC users. AIDONIC does not accept any liability for compliance with these Conditions by users of AIDONIC. The User acknowledges that there is a possibility that the files, data and/or materials that the User makes available to AIDONIC will be used by third parties in a manner that is contrary to or not provided for in these Conditions.
    • You agree that you will not take any action, submit Content on the Platform that infringes any intellectual property right (including trade secrets), moral right, obligation of confidence, or otherwise breaches the rights of any other person or entity, and/or breaches applicable laws, regulations or relevant industry codes, or is otherwise unlawful, threatening, abusive, harassing, defamatory, obscene, tortious, offensive, or invasive of another’s (privacy) rights.
    • Documents and other information uploaded by User to AIDONIC’s systems, or otherwise provided by User in the context of the use of the Services, may contain third party intellectual property. With regard to such intellectual property, User grants to AIDONIC a non-exclusive, irrevocable licence for the use thereof to the extent required for and for the sole purpose of providing the Services to User. User warrants that he has the right to grant such licence, including (without limitation) to the extent it applies to third party content.
  • Confidentiality
    • All confidential information which AIDONIC exchanges within the context of the Services and any negotiations will User remain undisclosed in respect of third parties. Information is considered confidential if this results from the nature of the information or the information is explicitly regarded as confidential by AIDONIC.
    • The User will not use or disclose the confidential information for any purpose other than is necessary in connection with the provision of the Services.
  • Liability
    • AIDONIC cannot be held liable in any way by the User for direct damages of any nature whatsoever suffered by anyone as a result of or in connection with the Services delivered by AIDONIC, unless arising from AIDONIC’s willful misconduct or gross negligence.
    • AIDONIC’s liability for indirect damages, including but not limited to consequential damages, lost profits, lost savings, reduced goodwill, loss due to business interruption, losses as a result of claims from third parties, and damages in connection with engagement of third parties by the User, as a result of or in connection with the Services provided by AIDONIC, is excluded.
    • AIDONIC is not liable for any loss arising in the performance of the Services due to AIDONIC acting on incorrect or incomplete information provided by the User.
    • AIDONIC is not liable for any damage or loss, in any form whatsoever, caused to or by the Services as a result of non-compliance with the Conditions terms, such as, in the event of failure to deliver the Services on time or in full, due to unforeseen circumstances and/or force majeure, or any other agreed.
    • AIDONIC is not liable for any damage and loss arising from or as a result of acts and omissions by the User, its personnel or third parties involved by the User and/or AIDONIC in the performance of the Services.
    • The User shall, at its own expense, take out adequate insurance to cover all contractual and extra-contractual liability, whereby recourse against AIDONIC is excluded.
    • If, for any reason, AIDONIC is liable, then its liability per incident is limited to an amount equal to the Fees collected by AIDONIC in direct relation to such incident. AIDONIC ‘s liability, in any case, is limited to losses for which it is insured and the amount that AIDONIC ‘s insurer pays out in that particular case.
  • Indemnity
    • Insofar as is permitted by law, the User shall indemnify and compensate AIDONIC for any liabilities, damages, losses and costs (including settlement costs and reasonable attorneys’ fees) arising from claims of third parties, its personnel and personnel of the User who suffer damages caused by the performance of the Services, unless the cause is attributable to AIDONIC.
    • The User furthermore indemnifies AIDONIC against all claims of third parties, its personnel and personnel of the User in connection with damages caused by or in connection with the Services.
    • If third parties challenge AIDONIC in situations as described in clause 1 to 18.2, the User shall support AIDONIC both outside and in legal proceedings and do all that can be expected of it.
  • Duration and termination of agreement
    • AIDONIC and the User conclude the underlying agreement for an indefinite period of time, unless agreed to otherwise in writing.
    • If an agreement is explicitly limited regarding its contents or duration, the agreement will automatically terminate on fulfilment of the contents or duration.
    • AIDONIC may terminate the agreement at any time, without being obliged to pay compensation of damages or indemnify, among others in the following cases:
      • the User is bankrupt or in suspension of payment;
      • the User is being dissolved or liquidated;
      • the User is dead;
      • the User ceases to conduct business in the normal course;
      • due to other circumstances, the User no longer has the right to freely manage its assets.
    • In addition to clause 3, AIDONIC may cancel or terminate the agreement immediately, without notice of default being required, if the User does not comply, does not fully comply, or does not comply in good time with its obligations under the agreement. On non-compliance of its obligations, the User must pay compensation of damages to or indemnify AIDONIC.
    • The provisions of clauses 13, 14, 15, 16, 17 18, 5, 20, 21, 23 and 24 of these Conditions shall survive and remain in full force and effect regardless of the termination of the agreement.
  • Force Majeure
    • AIDONIC may, at its discretion, terminate the Services and any agreement or suspend its execution if, due to circumstances beyond its sphere of influence or of which it was not aware, it temporarily cannot comply with its obligations without being liable to pay any compensation of damages.
    • If, prior to force majeure entering into force, AIDONIC has complied with the agreed obligations and this part independently has value, then AIDONIC may submit an invoice for such fulfilled part.
  • Privacy
    • AIDONIC complies with the applicable legislation and regulations concerning the protection of personal data. describes which personal data AIDONIC processes.
  • Third-party websites
    • The Platform contains (hyper)links to websites of partners, suppliers, advertisers, sponsors, licensors or other third parties. AIDONIC has no control over the contents or links that appear on these websites and AIDONIC is not responsible for the practices of websites linked to or from the Platform. In addition, these websites and their contents and links can change constantly. These websites may have their own terms and conditions, privacy policies, and client policy. Browsing and interaction on any other website, including websites linked to or from our Website, are subject to the terms and policy of that website.
  • Other
    • If AIDONIC does not enforce parts of these Conditions and/or any agreement between AIDONIC and the User, this cannot be regarded as a waiver of the right to enforce this at a later stage against the User.
    • The User cannot transfer its rights and obligations under these Conditions and/or any agreement between AIDONIC and the User to third parties. AIDONIC can assign and/or transfer all rights and obligations under these Conditions and/or any agreement between AIDONIC and the User to a third party, without consent from the User being required.
    • If any provision of these Conditions and/or any agreement between AIDONIC and the User is deemed unlawful, void, voidable or otherwise unenforceable, this does not affect the validity and enforceability of the remaining provisions of these Conditions and/or any agreement between AIDONIC and the User. The unlawful, void, voidable or otherwise unenforceable part shall be deemed replaced by a valid and enforceable provision that achieves the aim and scope of the replaced provision closely.
    • If at any time any provision of these Conditions conflicts with any agreement between AIDONIC and the User, such agreement shall prevail.
  • Applicable law and competent court
    • These Conditions and any agreements between AIDONIC and the User are exclusively governed by Swiss law.
    • Unless contrary to mandatory law, all disputes and claims arising out of or in connection with these Conditions and/or an agreement must be submitted solely to the competent court in Baar, Switzerland.
